Who the program is for
Metrosuite develops and builds its multiplexes with investment partners. Today that happens building by building, each project with its own ownership entity. Metrosuite is establishing a private limited partnership so that the next phase can be pooled — one vehicle, a portfolio of buildings, one set of reporting.
The program is for accredited investors and other purchasers who qualify under prospectus exemptions in National Instrument 45-106, in permitted jurisdictions. Any investment is made only through offering documents, and the pooled partnership's terms will be set out in its documents when they are issued. Nothing on this website is an offer to sell or a solicitation of an offer to buy securities.
How it works
Acquire
Single-family lots that carry a fourplex and garden suite as-of-right, clustered so design, procurement and craning are shared.
Build
Metrosuite delivers each building under a fixed-price contract subject to a guaranteed maximum price — a related-party arrangement disclosed in the offering documents.
Finance
At stabilisation each building is financed as purpose-built rental, under CMHC's MLI Select where it qualifies; equity recovered is returned or redeployed as the partnership agreement provides.
Sell or hold
The general partner decides, building by building, whether to sell or continue to hold, on market conditions and within the partnership's term. Neither outcome is committed in advance.
The sponsor is paid the way investors are paid.
Co-investment
The sponsor invests alongside investors in the partnership, in a proportion disclosed in the offering documents.
Fixed, disclosed fees
Metrosuite's construction and acquisition fees are fixed and disclosed in the offering documents.
Preferred return first
The sponsor participates in returns only after investors have received their capital and a preferred return, on terms set out in the partnership agreement.
Reporting and governance
- Quarterly investor reports, with construction progress updates during the build.
- Annual financial statements and tax slips.
- In-house management of the buildings the partnership holds.
- An investor portal is planned.
Risk
Private real estate investments are illiquid and involve risk — construction, leasing, financing, interest-rate and regulatory risk among others — including the possible loss of capital. Interests in the partnership would not be transferable except as its agreement permits, and there is no market for them. Metrosuite Inc. would act as builder and manager under related-party contracts, disclosed in the offering documents. Whether and when a building is sold, and at what price, depends on market conditions. Forecasts are not guarantees.
